This Client Agreement ("Agreement") is entered into between Sukhdeep Website Designer & Developer ("Company", "we", "us") and the individual or business engaging our services ("Client", "you"). By approving a quotation, making an advance payment, or instructing us to begin work, the Client agrees to be bound by the terms below.
The Company agrees to provide website design, development, mobile app development, SEO, digital marketing, or related services strictly as described in the agreed quotation, proposal, or order confirmation shared with the Client. Any work outside this defined scope is treated as an additional request and may be quoted separately.
An estimated delivery timeline is shared with the Client at the start of the project. This timeline depends on the Client providing content, images, logins, and feedback on time. Delays caused by the Client in providing these will proportionally extend the delivery date, and the Company will not be responsible for such delays.
Each project includes a fixed number of revision rounds as mentioned in the quotation. Requests for design or content changes beyond this limit, or changes requested after final approval, will be treated as new work and quoted separately.
Upon receipt of full and final payment, ownership of the completed website design, source files, and content created specifically for the Client's project is transferred to the Client. Until full payment is received, all design, code, and files remain the property of the Company. The Company reserves the right to display completed projects in its portfolio, website, and social media unless the Client requests otherwise in writing.
Where a project uses third-party platforms, plugins, themes, domain registrars, or hosting providers, the Client agrees that the Company is not responsible for any outage, price change, or policy change made by those third parties. Renewal of domain and hosting remains the Client's responsibility unless a separate maintenance agreement is in place.
Both parties agree to keep confidential any business, financial, or technical information shared during the course of the project, and not to disclose such information to a third party without written consent, except where required by law.
Either party may terminate this Agreement in writing if the other party fails to meet its obligations after being given a reasonable opportunity to correct the issue. If the Client terminates a project after work has commenced, the advance payment and payment for work already completed are non-refundable.
A short bug-fix support window (as specified in the quotation) is included after project delivery to fix technical errors caused by our development work. This does not cover new features, content updates, or issues caused by third-party changes, and ongoing maintenance is available as a separate paid service.
The Company's total liability under this Agreement is limited to the amount paid by the Client for the specific project. The Company is not liable for indirect, incidental, or consequential loss, including loss of business, data, or revenue, or for outages of third-party services such as hosting, domain, or payment gateway providers.
Both parties agree to first attempt to resolve any dispute amicably through discussion. If a resolution cannot be reached, this Agreement is governed by the laws of India, and disputes will be subject to the jurisdiction of courts in Punjab, India.
By approving a quotation, paying an advance, or asking the Company to begin work — whether in writing, over WhatsApp, by email, or verbally followed by payment — the Client confirms they have read, understood, and agreed to the terms of this Client Agreement.
